2 Resolution regarding the proposal for the election of members to the first Supervisory Board of Verbio SE

3 Resolution regarding the proposal for the appointment of the auditor for Verbio SE’s first financial year.

4 Resolution on the cancellation of the conditional capital established by the resolution of the Annual General Meeting on September 18, 2006, for the purpose of servicing               subscription rights under stock options.
