The Management Board of VERBIO considers the European Company to be a modern legal form for a limited corporation that is suitable and appropriate in the long term for VERBIO’s size and internationality. “We are driving climate protection forward worldwide with our innovations and our leading technologies.” said Claus Sauter, CEO of the VERBIO Group. “The SE, as an international legal form, underlines the global nature of our operations and the conversion is a logical step in continuing our sustainable growth strategy”.
The Company’s current dual structure with its separate Supervisory and Management Boards will be retained. Shareholders’ rights will also remain unchanged. The change in legal form will not result in any changes for VERBIO’s business partners or employees. The Company's registered office is to remain in Zörbig. The legal position of the Company’s shareholders are not affected by the conversion. Shareholders will receive the same number of shares in VERBIO SE. There will be no change to shareholders’ rights or to the trading arrangements for the Company’s shares on the stock exchange as a result of the conversion.
